Terms and conditions

1. Application. In the following conditions, the SELLER is SketchTwenty3 Ltd, and the BUYER is the company or individual purchasing the product from the SELLER. The statutory rights of the BUYER are not affected by these conditions.

2. Limit of Liability. All goods supplied by the SELLER are done so on condition that the SELLERS liability for any fault or defect in quality, condition, description or suitability for any purpose is limited to an amount not exceeding the original purchase price of the goods, and the SELLER shall not be held liable for any incidental or consequential loss however incurred. In the event of goods ordered from the SELLER subsequently not supplied for any reason, the SELLER shall not be liable for any loss howsoever arising. The SELLER shall not be legally bound to any quoted delivery times, which are always a genuine estimate only.

3. Title. It is a term of the contract between SELLER and BUYER that the goods remain the property of the SELLER until such time as payment in full has been received and cleared in respect of all outstanding accounts due. In the event of any default in payment the SELLER reserves the right to take back goods, which may necessitate the SELLER or the SELLERS agent to enter the BUYERS premises or wherever the goods are stored at that time.

4. Contract. The condition of sale is on the understanding that the contract is between the SELLER and BUYER only. The SELLER will not enter into any discussion or correspondence with the BUYER’S customer with whom the SELLER has no contract.

5.a. Payment Terms. Payment by Pro Forma unless by prior agreement which is covered by valid credit insurance. If the credit insurance is withdrawn, then all payments will become immediately due and payable. Any further orders by proforma payment only.

5.b. Overdue Payments. These may result in the account being put on temporary hold and/or withdrawal of credit facilities and/or interest charged.

5.c The buyer shall not be entitled to exercise any set off, lien or similar right
or claim against payment of any amounts due to seller.

5.d In the event that the seller takes proceedings against the BUYER to recover sums overdue for payment, the Buyer will indemnify the seller against all sums payable by the seller to its solicitors or collection agents

6.a. Prices. The SELLER reserves the right to increase prices of any product at any time without notice.

6.b. VAT. VAT is applicable to all prices in accordance with UK legislation in force at the tax point date.

7. Minimum Orders. The minimum orders accepted are: Wallpaper – 1 roll

8. Non-delivery. Claims must be made in writing within 7 days of invoice date.

9. Damaged Goods. Parcels that appear damaged in transit must be inspected at time of delivery and either REFUSED or signed for as DAMAGED. We regret claims will not be accepted unless deliveries are signed for in this way. Upon receiving notification, a replacement will be despatched where possible. Please state delivery date and consignment note number to enable us to follow up with our carriers to assist in achieving a continuously improving service.

10.a. Carriage – Weight. It may be necessary, to comply with Health & Safety guidelines, to restrict the weight to approx. 20kg (subject to volume-to-weight ratio) per parcel

10.b. Carriage – £12.50 Delivery. Orders exceeding £400 for Standard Delivery of any combination of products will be delivered FOC (Mainland & Northern Ireland only).

11.0. Claims – Wallpapers – Claims will not be accepted if more than one roll has been
opened/hung. Please note for all papers, every roll should be inspected before cutting and hanging. After hanging 2-3 lengths, inspect the result to ensure that no shading or other faults are present. If a fault is identified STOP decorating. Please retain all batch labels. No claims will be accepted for wallpaper hung in excess of 3 drops of wallpaper.

11.1. Claims – Any Product – Labour claims will not be accepted, user must accept responsibility once work has started.

11.2. Claims – Any Product. It is the BUYERS responsibility, regardless of delivery address, to ensure that goods are as ordered and are of satisfactory quality.

11.3. Claims – Any Product. All claims MUST be made in writing within 21 days of date of invoice and supported with photographic evidence. Any claim made after this period will not be accepted.

11.4. Instructions. Claims will not be accepted if more than one roll has been opened/hung. Please note for all papers, every roll should be inspected before cutting and hanging. After hanging 2-3 lengths, inspect the result to ensure that no shading or other faults are present. If a fault is identified STOP decorating. Please retain all batch labels. No claims will be accepted for wallpaper hung in excess of 3 drops of wallpaper. Labour claims will not be honoured.

11.5. Special Care for Glass Bead Paper. Professional hanging is recommended. Please ensure the surface is clean, dry and even. It is highly recommended that the walls are lined. Recommended paste is a high quality, light ready mixed, pH neutral, solvent free paste. There may be some loose beads due to transportation and handling, this should not be considered a flaw. Claims will not be accepted for loose beads. Check that no loose beads have reached the reverse of the paper. When smoothing use a soft felt roller or sponge.

12.0. Returns/Cancellations. If the BUYER wishes to return any goods please contact our Sales Office within 14 days, who will arrange collection by our carriers. It is the BUYER’S responsibility to ensure that the goods are returned adequately packed. Damaged returns will not be accepted for credit. No returns will be accepted if goods have had any treatment applied.

Print to order products cannot be returned unless they are faulty or arrive damaged.

12.1. Charges. Authorised returns for cancelled orders or ordering errors will incur a £10.00 handling charge. Unauthorised returns will incur a 30% restocking fee.

12.2. Minimums. Unless goods are faulty, no returns will be accepted under 5 units.

13. Collections. When collecting goods from our warehouse, please telephone at least 5 hours prior to calling to allow sufficient time for processing and packing.

14. Reserved Goods. These will only be held for 10 working days.

15. Resale. The buyer shall not without the sellers written permission:

a. Export any Goods or supply them for export to any territory which is not within the UK

b. Enter into any advertising or promotion in an attempt to sell the Goods outside the UK

c. Sell the Goods to any third party within the UK which would result in the Goods being sold outside the UK

d. If the Seller has given the Buyer its written permission for the Goods to be exported outside the UK, the Buyer must furnish proof of export to the Seller within 60 days of taking delivery. Where such evidence is not available, the Seller reserves the right to charge VAT at the appropriate rate.

e. Due to the nature of the Goods, the Buyer and Seller agree that the Buyer shall maintain facilities suitable for displaying the Goods to its customers and that due to the characteristics of the goods may render them inappropriate to be onsold via the internet, without allowing the customers the opportunity to examine them in person in a retail environment. The Buyer therefore shall not be involved in the provision of Goods via the internet without the written permission of the Seller.

f. The following criteria must be met in order for permission to be granted from the Seller to allow the Buyer to sell the Goods on an internet website.

g. The Buyer is required to have a bricks and mortar showroom in which customers can peruse the Sellers branded collections and seek advice.

h. The Buyers domain name must be registered with and approved by the Seller, it should reflect the Buyer’s retail business, and the trading name and address must be clearly visible on the website.

i. Any use of the Sellers logo or copyright material, including images, shall be subject to the Sellers prior written approval.

j. Should the Seller agree to the use of the copyright material on the Buyer’s website, the Seller shall send the Buyer a Copyright agreement for which there will be a charge.

k. All designs depicted of the Goods are the copyright of the Seller and may not be reproduced in any form without the written permission of the Seller.
